Terms & Conditions
Last updated: October 30, 2026
These Terms govern your use of umamatcha.com, our customer portal, and related pages (the "Site"), operated by Uma Matcha LLC ("Uma Matcha," "we," "us"). By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.
1.
Wholesale only
The Site presents our wholesale matcha program for businesses such as cafés, roasters, restaurants, and specialty beverage programs. Nothing on the Site is an offer to sell to consumers.
2. Pricing and quotes
We do not publish prices on the Site. Wholesale pricing depends on grade, volume, order frequency, and partnership length, and is provided only in a meeting or written quote. A quote is an estimate, not a binding offer, and is valid only for the period stated on it. We may change pricing for future orders at any time; pricing for ongoing accounts changes only as set out in that account's signed agreement.
3. Orders and agreements
Submitting an inquiry, booking a meeting, or requesting a quote does not create a contract. A sale is formed only when we confirm an order in writing or both parties sign a purchase agreement. Each sale is governed by the signed Trial Purchase Agreement, Wholesale Dealer Agreement, or Terms of Sale that applies to it. If those documents conflict with these Terms, the signed agreement controls.
We may decline any inquiry, order, or account application at our discretion.
4. Payment
New accounts pay in full before shipment or delivery. Credit terms (Net-15 or Net-30) are available only after we approve a credit application in writing.
5. Customer portal accounts
If we give you portal access, you are responsible for keeping your login secure and for all activity under your account. Tell us promptly at hello@umamatcha.com if you suspect unauthorized use. Orders and schedule changes made through your portal account are treated as authorized by your business. We may suspend portal access for past-due balances or misuse.
6. Product information
We work to keep product descriptions, origin details, and photos accurate. Natural products vary, so color and flavor may differ slightly by harvest and lot. Information on the Site is general and is not medical or nutritional advice. You may not make health, nutritional, origin, or certification claims about our matcha that we have not authorized in writing.
7. Use of our brand and content
All Site content, including text, photos, logos, labels, and design, belongs to Uma Matcha or its licensors. You may not copy, reproduce, or use it without our written permission. Wholesale customers may truthfully name Uma Matcha as their supplier, but logo and photo use requires separate written permission.
8. Acceptable use
You agree not to misuse the Site, including by attempting unauthorized access, interfering with its operation, scraping content, or submitting false information.
9. Third-party services
The Site is hosted by Wix and may use third-party tools for scheduling, email, and payments. Your use of those services is also subject to their terms.
10. Disclaimer
The Site is provided "as is" and "as available." We do not promise it will be uninterrupted or error-free. Warranties for products you buy are governed only by your signed purchase agreement and applicable law.
11. Limitation of liability
To the fullest extent permitted by law, Uma Matcha will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from your use of the Site. Liability relating to product purchases is governed by your signed purchase agreement.
12. Indemnification
You agree to indemnify Uma Matcha against third-party claims arising from your misuse of the Site or your violation of these Terms.
13.
Governing law
These Terms are governed by the laws of the State of Florida. Any dispute will be brought in the state or federal courts located in Pinellas County, Florida.
14. Changes
We may update these Terms at any time. The "Last updated" date shows the latest version. Continued use of the Site means you accept the updated Terms.
